REPUBLK NDONESA MEMORANDUM SALNG PENGERTAN ANTARA KEMENTERAN ENERG DAN SUMBER DAYA MNERAL REPUBLK NDONESA DAN KEMENTERAN LSTRK, ENERG DAN SUMBER DA YA MNERAL REPUBLK RAKY AT BANGLADESH Dl BDANG ENERG Kementerian Energi dan Sumber Daya Mineral Negara Republik ndonesia ("Pihak i ndonesia") dan Kementerian Listrik, Energi dan Sumber Daya Mineral Republik Rakyat l Bangladesh ("Pihak Bangladesh"), (selanjutnya secara sendiri-sendiri disebut "Pihak" i dan secara bersama-sama disebut "Para Pihak"); BERMAKSUD untuk memperkuat kerja sama diantara dua negara di bidang energi; i MEMPERTMBANGKAN kepentingan bersama Para Pihak untuk mengembangkan kerja sama di bidang energi dan sumber daya mineral berdasarkan prinsip kesetaraan dan l keuntungan bersama; j MENEGASKAN keinginan, kesiapan dan kesediaan Pihak Bangladesh untuk berdiskusi j mengenai pembangunan fasilitas penerimaan dan infrastuktur Liquefied Natural Gas i (LNG) di Republik Rakyat Bangladesh, termasuk impor LNG yang disediakan oleh Pihak! ndonesia; i
! i LEBH LANJUT MENEGASKAN kesediaan Pihak ndonesia untuk memfasilitasi diskusi dengan produsen LNG ndonesia atau pemasar LNG ndonesia dan untuk mempertimbangkan kemungkinan kerja sama di bidang penjualan dan pengiriman LNG ke Republik Rakyat Bangladesh dan kerja sama lainnya yang dapat disepakati dari waktu ke waktu; SESUA DENGAN hukum dan perundang-undangan yang berlaku di negara masingmasing; Para Pihak dengan ini menyetujui sebagai berikut: Pasal1 Tujuan dari Memorandum Saling Pengertian (selanjutnya disebut sebagai "MSP") ini adalah sebagai kerangka kerja sama diantara Para Pihak termasuk namun tidak terbatas untuk menjual dan mengirimkan LNG ke Republik Rakyat Bangladesh dalam jangka waktu panjang oleh produsen LNG ndonesia atau pemasar LNG ndonesia yang dinominasikan oleh Pihak ndonesia berdasarkan syarat dan ketentuan yang disepakati bersama dan kerja sama lainnya yang disepakati dari waktu ke waktu (selanjutnya disebut sebagai "Proyek"); Pasal2 Para Pihak akan menginisiasi dan memfasilitasi diskusi diantara pihak yang dinominasikan oleh Para Pihak sebagaimana dimaksud dalam Pasal 3 untuk mengeksplorasi kemungkinan untuk melakukan negosiasi komersial terkait Proyek. Pasal3 Para Pihak menominasikan pihak berikut untuk melakukan negosiasi dan melaksanakan Proyek: j (A) Pihak Bangladesh menominasikan Bangladeshi Oil, Gas & Mineral Corporation 1 (selanjutnya disebut "Petrobangla").! (B) Pihak ndonesia menominasikan PT Pertamina (Persero) (selanjutnya disebut sebagai "Pertamina"). i ---- _i
Pasal4 1. Pihak Bangladesh melalui Petrobangla; tunduk pada perjanjian antara Pertamina dan Petrobangla; akan menunjuk Pertamina sebagai pemasok LNG ke Republik Rakyat Bangladesh tanpa diwajibkan untuk mengikuti proses lelang. 2. Para Pihak akan mendiskusikan dan tunduk pada kesepakatan antara Pertamina dan Petrobangla; melaksanakan suplai LNG ke Bangladesh oleh Pertamina dan selanjutnya membangun fasilitas penerimaan LNG yang terdiri dari floating storage and regasification unit ("FSRU"), mooring dan infrastruktur off-loading, sub-sea dan pipa gas onshore ke grid gas alam. Pasal5 Para Pihak dengan ini sepakat bahwa masing-masing dari Pertamina dan Petrobangla dapat dengan diskresinya sendiri menominasikan salah satu anak perusahaannya, dan/atau bekerjasama dengan perusahaan lain untuk melaksanakan Proyek. Pasal6 MSP ini tidak dimaksudkan untuk menimbulkan adanya hak-hak atau kewajibankewajiban yang dapat diimplementasikan secara hukum terhadap salah satu Pihak. Setiap sengketa, kontroversi atau klaim yang muncul sehubungan atau terkait dengan MSP ini, wajib diselesaikan secara musyawarah mufakat melalui konsultasi dan negosiasi diantara Para Pihak. Pasal7 MSP ini dapat diubah dari waktu ke waktu dengan persetujuan tertulis bersama Para Pihak dan harus dijaga kerahasiaannya oleh Para Pihak. Pasal8 1. MSP ini berlaku efektif sejak ditandatangani oleh Para Pihak dan tetap berlaku efektif untuk jangka waktu 3 (tiga) tahun.
2. Salah satu Pihak dapat mengakhiri MSP ini dengan memberikan pemberitahuan tertulis kepada Pihak lainnya mengenai keinginannya untuk mengakhiri MSP ini setidaknya 90 (sembilan puluh) hari sebelum berlaku efektifnya pengakhiran. 3. Kecuali disepakati lain secara tertulis oleh Para Pihak, pengakhiran MSP ini tidak akan mempengaruhi negosiasi maupun implementasi Proyek yang dilaksanakan oleh Para Pihak atau pihak sebagaimana dimaksud dalam Pasal 3 MSP ini. -,H =- ~.:_ ~ ~ REPUBLK NDONESA MEMORANDUM OF UNDERSTANDNG BETWEEN THE MNSTRY OF ENERGY AND MNERAL RESOURCES OF THE REPUBLC OF NDONESA AND THE MNSTRY OF POWER, ENERGY AND MNERAL RESOURCES OF THE PEOPLE'S REPUBLC OF BANGLADESH N THE ENERGY SECTOR l The Ministry of Energy and Mineral Resources of the Republic of ndonesia ("ndonesia Party") and the Ministry of Power, Energy and Mineral Resources of the People's Republic of Bangladesh ("Bangladesh Party") (hereinafter referred to ~ individually as the "Party" and collectively the "Parties"); DESRNG to strengthen cooperation between the two countries in the field of energy; CONSDERNG the mutual interest of the Parties in developing cooperation in the field l of energy and mineral resources based on the principles of equality and mutual : benefits; AFFRMNG the desire, readiness and willingness of the Bangladesh Party to enter i into discussion of developing Liquefied Natural Gas (LNG) receiving facilities and 1 infrastructure in the People's Republic of Bangladesh, as well as importing LNG l provided by ndonesia Party; i
FURTHER AFFRMNG the ndonesia Party's willingness to facilitate discussion with an ndonesian LNG producing or marketing entity and to explore the possibility of cooperation in the sale and delivery of LNG to the People's Republic of Bangladesh and other cooperation as may be agreed from time to time; PURSUANT to prevailing laws and regulations of their respective countries; The Parties hereby agree as follows: Article 1 The objective of this Memorandum of Understanding (hereinafter referred to as "MOU") is to provide a framework for cooperation between the Parties including but not limited to the long term sale and delivery of LNG to the People's Republic of Bangladesh by ndonesian LNG producing or marketing entity nominated by ndonesia Party based on mutually acceptable terms and condition and other cooperations which may be agreed from time to time (hereinafter referred to as "the Project"); Article 2 The Parties will initiate and facilitate discussions between their nominated companies referred to in Article 3 for exploring the possibility of entering into commercial negotiations of the Project. Article 3 The Parties nominate to following entities to negotiate and carry out the Project: (A) Bangladesh Party nominates Bangladeshi Oil, Gas & Mineral Corporation (hereinafter referred to as "Petrobangla"). (B) ndonesia Party nominates PT Pertamina (Persero) (hereinafter referred to as "Pertamina"). Article 4 1. Bangladesh Party through Petrobangla; subject to agreement between Pertamina and Petrobangla; shall appoint Pertamina as the supplier of LNG to the People's Republic of Bangladesh without being obliged to undergo tender or bid process.
2. The Parties will discuss and subject to the agreement between Pertamina and Petrobangla; realize the supply of LNG to Bangladesh by Pertamina and subsequently the possibility of developing LNG receiving facilities compromising of a floating storage and regasification unit ("FSRU"), mooring and off-loading infrastructure, sub-sea and onshore gas pipeline to the natural gas grid. Article 5 The Parties hereby agree that each of Pertamina and Petrobangla may at its own discretion nominate one of its subsidiaries, and/or work in partnership with other companies, to carry out the Project. Article 6 This MOU is not intended to create any legally enforceable rights or obligation in respect of either Party. Any dispute, controversy or claim arising from or related to the implementation or interpretation of this MoU, shall be settled amicably through consultation and negotiation between the Parties. Article 7 This MoU may be amended from time to time by mutual written consent by the Parties and shall be kept in strict confident by the Parties. Article 8 1. This MoU shall come into effect upon signature by The Parties and shall remain in force for a period of three (3) years. 2. Either Party may terminate this MoU by giving the other Party written notification of its intention to terminate this MoU at least ninety (90) days prior to the effective date of termination. 3. Unless otherwise agreed in writing by the Parties, the termination of this MoU shall be without prejudice of any negotiation or implementation of the Project being carried out by the Parties or entities referred to in Article 3 of this MoU.
